Directory Listing Terms

1. Eligibility & Authority

You must be at least 18 years old and authorized to act on behalf of the business you are listing. You are responsible for all activity under your listing.

2. Listing Fees & Payment

Paid directory listings are offered at the rate shown at checkout — currently $197 per year, per business listing. Fees are billed in advance on an annual basis. Payments are processed by our third-party payment provider; by submitting payment, you authorize us (and our processor) to charge the applicable fee to your selected payment method. All fees are stated in U.S. dollars and exclude any applicable taxes.

3. Automatic Renewal & Cancellation

Your listing renews automatically each year at the then-current annual rate unless you cancel before the renewal date. We may notify you of upcoming renewals or price changes. You can cancel future renewals at any time by contacting us using the details below; cancellation stops further billing and takes effect at the end of your current paid term.

4. Refunds

Listing fees are non-refundable except where required by law. Cancelling a listing stops future renewals but does not entitle you to a refund of fees already paid for the current term.

5. Listing Content & Public Display

You are solely responsible for the accuracy of your listing information and for keeping it current. Listing information is displayed publicly in the directory and may be indexed by search engines. By submitting listing content, you grant us a non-exclusive, royalty-free license to host, display, and promote that content in connection with operating and marketing the directory. You represent that you hold all rights necessary to grant this license.

6. Content Standards & Removal

Listing content must be lawful, accurate, and not misleading, infringing, or harmful. We may, at our discretion and with or without notice, edit, suspend, or remove any listing that violates these terms or that we determine is inappropriate. Removal of a listing for a violation does not entitle you to a refund.

7. No Guarantee of Results

A directory listing does not guarantee leads, inquiries, customers, traffic, rankings, or any particular business outcome. The directory is provided as a community resource.

8. Acceptable Use

You agree not to submit false or deceptive information, infringe others' rights, scrape or bulk-collect directory data, or use a listing to distribute spam or unlawful content.

9. Intellectual Property

The Middleton Networking name, logo, directory design, and content (excluding your submitted listing content) are owned by ARC Affiliates and may not be copied or reused without our written permission.

10. Disclaimers

The directory and listings are provided "as is" and "as available," without warranties of any kind. We do not warrant that listings are accurate or current, or that the directory will be uninterrupted or error-free. A listing is not an endorsement of any business.

11. Limitation of Liability

To the fullest extent permitted by law, ARC Affiliates and Middleton Networking will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or goodwill, arising from a listing or use of the directory. Our total liability for any claim will not exceed the listing fees you paid us in the twelve months before the claim.

12. Indemnification

You agree to indemnify and hold harmless ARC Affiliates and Middleton Networking from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your listing content, your use of the directory, or your violation of these terms or applicable law.

13. Governing Law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and any dispute will be resolved exclusively in the state or federal courts located in Florida.

14. Changes to These Terms

We may update these Directory Listing Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of a listing after changes take effect constitutes acceptance.
